Orlando Police Pension Fund v. Twitter, Inc et all

Here is the link to the court filing from the Orlando Police Pension against Twitter, Musk and others. Simply stated, because Musk is an interested shareholder, he cannot takeover the company for three years, and with a 2/3 shareholder approval. On the face, this explains why Twitter shares ($TWTR) are not fully valued at around $54.

My take, is that all parties walk away from the deal. What are your thoughts?
