CEOs, stock shares and selling


I'm just trying to understand how things typically works. Let's say a CEO has a few millions of shares. At a given time, the shares value peaks at $10 before gradually dipping down to $20 over the next couple of years. The peak lasts about a year, during which they decide to cash-in, but they only end up selling about 25% of the total shares. Why wouldn't they sell a larger amount?

  • Couldn't find enough buyers?
  • A contractual limitation that prevents him from selling more?
  • Something else?
